Please read these Terms carefully. They form a binding agreement between you and the operator of Waery whenever you access, register for, purchase, or use the Waery platform.

1. Acceptance of these Terms

These Terms and Conditions (“Terms”) govern access to and use of the Waery website, dashboard, application programming interfaces, plugins, integrations, automation tools, messaging features, documentation and related services (collectively, the “Service”). “Waery”, “we”, “us” and “our” refer to the operator of the Service. “Customer”, “you” and “your” refer to the individual or legal entity using the Service.

By creating an account, clicking an acceptance button, connecting a WhatsApp Business account, purchasing a plan, using an API key or otherwise using the Service, you confirm that you have read and accepted these Terms and our Privacy Policy and Refund Policy. If you use the Service for an organisation, you represent that you have authority to bind that organisation.

2. Description of the Service

Waery is a business communication software platform that may allow Customers to connect the WhatsApp Business Platform, manage contacts and templates, send and receive messages, operate a shared inbox, create automations, access developer APIs, configure webhooks and use third-party integrations.

Features may vary by plan, account status, location, technical availability and third-party approval. We may improve, modify, replace or discontinue features where reasonably necessary. Material changes that significantly reduce a paid Service will be communicated where practicable.

3. Eligibility and Account Responsibilities

3.1 Eligibility

You must be at least 18 years old, legally capable of entering a contract, and authorised to act for any business you register. The Service is intended for legitimate business and professional use.

3.2 Accurate information

You must provide accurate, current and complete registration, billing and business information and keep it updated. We may request reasonable identity, business, tax or compliance information before activating or continuing the Service.

3.3 Security

You are responsible for protecting passwords, one-time passwords, API keys, webhook secrets, access tokens, connected Meta assets and authorised devices. You must promptly notify us through the contact page if you suspect unauthorised access. You are responsible for activity performed through your account unless caused by our breach of duty.

3.4 Team members

Account owners are responsible for inviting, managing and removing team members and for assigning appropriate permissions. Each user should have an individual login; shared credentials are discouraged.

4. Customer Data and Instructions

“Customer Data” includes contacts, message content, media, templates, automation data, integration payloads and other information submitted to or processed through the Service on your behalf. As between the parties, you retain your rights in Customer Data.

You instruct us to process Customer Data only as reasonably necessary to provide, secure, maintain and support the Service, comply with law, prevent abuse and carry out your documented configuration. You are responsible for ensuring that you have a valid legal basis, notice and consent for collecting, uploading, using and messaging each contact.

You must not submit highly sensitive information unless it is necessary, lawful and appropriately protected. Do not use Waery as the sole repository for records that you are legally required to retain; maintain your own appropriate backups and records.

5. WhatsApp, Meta and Third-Party Services

Waery is an independent software service and is not owned, endorsed or operated by Meta Platforms, Inc. “WhatsApp” and related marks belong to their respective owners.

Your use of WhatsApp functionality is also governed by Meta’s and WhatsApp’s applicable business terms, messaging policies, commerce policies, developer terms and technical requirements. You are solely responsible for:

  • obtaining valid recipient opt-in before sending messages;
  • using approved templates where required;
  • honouring opt-out, block and deletion requests promptly;
  • maintaining accurate business information and approved use cases;
  • paying Meta or other third-party messaging charges; and
  • responding to quality, policy, verification or account-review requirements.

Meta may reject templates, restrict messaging, change pricing, modify APIs, suspend assets or terminate WhatsApp Business Accounts. Such decisions are controlled by Meta, not Waery. We do not guarantee approval, delivery, quality ratings, messaging limits or continued availability of any third-party service.

6. Acceptable Use

You must use the Service lawfully and responsibly. You must not, and must not enable others to:

  • send unsolicited bulk messages, spam, deceptive promotions or messages without proper consent;
  • engage in phishing, impersonation, fraud, harassment, threats, hate, exploitation or unlawful discrimination;
  • promote or facilitate illegal goods, illegal services, malware, credential theft or financial scams;
  • upload malicious code, interfere with security, probe vulnerabilities or gain unauthorised access;
  • circumvent rate limits, plan limits, billing controls, platform safeguards or third-party restrictions;
  • scrape, resell or redistribute the Service except under a written reseller agreement;
  • reverse engineer or copy protected parts of the Service except where law expressly permits;
  • use misleading sender identities or conceal the origin or purpose of communications; or
  • process data in violation of privacy, telecommunications, consumer protection or marketing laws.

We may investigate suspected abuse and may restrict messaging, revoke API keys, quarantine campaigns, require evidence of consent or suspend an account to protect recipients, Waery, third parties or the integrity of the Service.

7. Plans, Charges, Taxes and Renewal

7.1 Subscription plans

Paid features are provided according to the plan, billing period, limits and price shown at checkout or in an applicable order. Usage limits may include numbers, users, contacts, messages, API requests, automations, storage or retention.

7.2 Third-party charges

Waery subscription fees are separate from Meta conversation or template-message charges, mobile network charges, payment gateway fees and other third-party costs unless expressly stated otherwise.

7.3 Renewal and cancellation

Recurring subscriptions renew automatically for the selected billing period unless cancelled before the renewal date. Cancellation stops future renewal but does not normally reverse charges already incurred. You remain responsible for charges generated before cancellation.

7.4 Failed payments

If payment is overdue, we may retry payment, restrict paid features, suspend message sending or terminate the subscription after a reasonable grace period. You remain responsible for outstanding amounts.

7.5 Taxes and invoices

Prices may exclude applicable GST or other taxes unless shown otherwise. You are responsible for providing valid billing and tax information. Refund eligibility is governed by our Refund Policy.

8. Developer API, Webhooks and Integrations

API access is subject to documentation, scopes, rate limits and plan limits. You must keep API credentials confidential, use secure HTTPS endpoints and validate webhook signatures. You must not expose secret keys in browser code, public repositories, mobile applications or client-side plugins.

Third-party plugins and integrations may be provided for convenience. You are responsible for their configuration, permissions, data flows, security and compliance. We may disable an integration that threatens the Service or other users.

9. Availability, Support and Changes

We aim to provide a reliable Service but do not promise uninterrupted or error-free operation. Outages may result from maintenance, security events, internet failures, hosting providers, payment processors, Meta APIs or events outside reasonable control.

Support channels and response targets depend on your plan and are not guaranteed service-level commitments unless a separate written Service Level Agreement applies.

10. Intellectual Property and Feedback

Waery and its licensors retain all rights in the Service, software, interface, source code, documentation, logos, trademarks and proprietary technology. Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable and revocable right to use the Service for your internal business purposes during your subscription.

If you provide suggestions or feedback, you permit us to use it without restriction or compensation, provided we do not publicly identify you without permission.

11. Suspension, Cancellation and Termination

You may cancel your subscription through available account controls or by contacting support. We may suspend or terminate access where reasonably necessary because of non-payment, security risk, unlawful conduct, material breach, policy violation, excessive abuse, legal requirement or third-party platform action.

Where appropriate, we will provide notice and an opportunity to remedy the issue. Immediate action may be taken where delay could cause harm, fraud, security compromise, legal exposure or platform-wide disruption.

After termination, your right to use the Service ends. Data may be retained for a limited period for backup, dispute, security, accounting or legal purposes and then deleted or anonymised in accordance with our Privacy Policy. Export your required data before termination.

12. Disclaimers

To the maximum extent permitted by law, the Service is provided on an “as available” basis. We do not warrant that every message will be accepted, delivered, read or responded to, that any template or business will be approved, or that the Service will meet every business, legal or technical requirement.

Waery does not provide legal, tax, accounting or compliance advice. You should obtain professional advice for your particular operations.

13. Limitation of Liability

Nothing in these Terms excludes liability that cannot lawfully be excluded. To the maximum extent permitted by law, Waery will not be liable for indirect, incidental, special, exemplary or consequential losses, or loss of profits, revenue, goodwill, business opportunity or data, arising from use of or inability to use the Service.

To the maximum extent permitted by law, Waery’s aggregate liability arising from the Service during any twelve-month period will not exceed the subscription fees actually paid by you to Waery for the affected Service during the three months immediately preceding the event giving rise to the claim.

14. Indemnity

You agree to indemnify and hold Waery and its personnel harmless from third-party claims, damages, penalties, costs and reasonable legal expenses arising from your Customer Data, messages, campaigns, products, unlawful use, breach of these Terms, infringement of third-party rights or failure to obtain required consent, except to the extent caused by Waery’s own breach or unlawful conduct.

15. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts having jurisdiction at the registered place of business of the Waery operator will have exclusive jurisdiction, subject to any mandatory consumer rights or dispute forum that cannot legally be excluded.

Before commencing formal proceedings, each party should attempt in good faith to resolve a dispute by written notice and discussion for at least 30 days.

16. Changes to these Terms

We may update these Terms to reflect product, legal, security or business changes. The updated version will be posted on this page with a revised effective date. Where changes materially affect your rights, we will provide reasonable notice through the Service or registered contact details. Continued use after the effective date constitutes acceptance of the updated Terms.
